Terms of Service

1. Acceptance

These Terms of Service (“Terms”) form a binding agreement between you and AdStack (“AdStack,” “we,” “us”). By creating an account or using the service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

2. The service

AdStack provides an AI-powered platform that lets users plan, generate, and publish advertising content and organic posts to third-party platforms including Meta, TikTok, and X. The service interacts with those platforms through documented APIs and acts on behalf of you when you authorize and approve specific actions.

We may modify, suspend, or discontinue features at our discretion. Material changes will be announced in advance when reasonably practicable.

We may suspend or terminate accounts that violate this section without prior notice when necessary to protect the service, other users, or the public.

5. Your content

You retain all ownership rights to the briefs, prompts, source images, and other content you submit to AdStack (“Your Content”), and to the outputs we generate at your direction (“Outputs”), subject to the licenses and terms of any underlying AI provider that generates them.

You grant AdStack a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and modify Your Content and Outputs solely as necessary to operate and improve the service, including by sending them to the AI providers and destination platforms required to perform the actions you request.

You represent that you have all rights necessary to submit Your Content and to instruct AdStack to publish Outputs to your connected platforms.

6. AI-generated content

AdStack uses third-party AI services to generate text, images, and videos on your behalf. Outputs may not be unique, may resemble other AI generations, and may contain inaccuracies. You are responsible for reviewing every Output before publishing it.

Where AI providers specify additional terms (e.g. attribution requirements, prohibited uses, ownership of outputs), those terms apply to your use of the corresponding Outputs in addition to these Terms.

AdStack agents will not take spend-impacting or publishing actions on connected platforms without your explicit per-action approval in the chat interface. You acknowledge that:

8. Fees, billing, and credits

AdStack offers free and paid plans. Paid plans include a monthly allotment of credits used to perform billable actions (e.g. generating media, calling write operations). Pricing and credit allotments are described on our pricing page and may be updated from time to time.

Third-party ad spend (e.g. money you spend running campaigns on Meta or TikTok) is not included in AdStack fees and is charged separately by the destination platform.

9. Third-party platforms

AdStack integrates with third-party platforms that you connect by granting OAuth access. Your use of those platforms is governed by their own terms and privacy policies. AdStack is not responsible for the availability, content, or practices of those platforms.

If a connected platform suspends, restricts, or changes its API, the corresponding AdStack features may become unavailable. We will work to restore service but make no guarantee of uninterrupted access.

10. Intellectual property

The AdStack service, including its software, design, trademarks, and documentation, is the intellectual property of AdStack or its licensors. These Terms do not grant you any rights in our intellectual property except for the limited right to use the service as described.

11. Feedback

If you provide feedback, suggestions, or feature requests, you grant AdStack a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation.

12. Termination

You may close your account at any time through Settings → Account. We may suspend or terminate your access if you violate these Terms, if required by law, or if continued access poses a security or legal risk.

Upon termination, your access ends, your data is handled per the retention schedule in our Privacy Policy, and the following sections survive: 4 (Acceptable Use), 5 (Your Content, license grant), 8 (Fees), 10 (Intellectual Property), 13 (Disclaimers), 14 (Liability), 15 (Indemnification), 16 (Governing Law and Disputes), and 17 (Miscellaneous).

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, OR FIT FOR YOUR PURPOSES.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER ADSTACK NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL ADSTACK'S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ADSTACK IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply in full to you.

15. Indemnification

You agree to defend, indemnify, and hold harmless AdStack and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the service, (b) Your Content or actions you approve, (c) your violation of these Terms, and (d) your violation of any third-party right or law.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising from or relating to these Terms or the service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules in Delaware, except that either party may bring an individual claim in small-claims court if it qualifies. You and AdStack waive any right to a jury trial and to participate in a class action.

Notwithstanding the above, either party may seek injunctive or equitable relief in court to protect intellectual property or confidential information.
